Terms of Service

1. Agreement to Terms

By accessing or using SimplicitySuite ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

2. Description of Service

SimplicitySuite is a business operations platform providing CRM, booking, affiliate tracking, and knowledge base functionality. The Service is provided on a subscription basis following an implementation engagement.

3. Account Registration

To use the Service, you must:

  • Complete an implementation engagement with SimplicitySuite
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account
  • Be at least 18 years old or have legal authority to enter into this agreement

4. Subscription and Payment

4.1 Fees

You agree to pay all fees associated with your subscription plan. Fees are charged in advance on a monthly basis and are non-refundable except as expressly stated in these Terms.

4.2 Implementation Fees

One-time implementation fees are due upon commencement of the implementation engagement. These fees cover data migration, configuration, and training services.

4.3 Per-User Pricing

Platform access is billed based on the number of active users. User counts are calculated at the end of each billing period.

4.4 Price Changes

We reserve the right to modify pricing with 30 days' notice. Price changes will take effect at the start of your next billing period.

5. Your Data

5.1 Data Ownership

You retain all rights to your data. SimplicitySuite does not claim ownership of any content you upload, store, or process through the Service.

5.2 Data Processing

We process your data solely to provide the Service. We do not sell your data to third parties or use it for advertising purposes.

5.3 Data Export

You may export your data at any time through the console or by requesting an export from our support team.

5.4 Data Retention

Upon account termination, your data will be retained for 30 days to allow for export. After this period, data will be permanently deleted.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or related systems
  • Transmit malicious code, viruses, or harmful data
  • Interfere with or disrupt the Service or servers
  • Resell or redistribute the Service without authorization
  • Use the Service to send unsolicited communications (spam)
  • Violate any applicable laws or regulations

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by SimplicitySuite and is protected by international copyright, trademark, and other intellectual property laws.

8. Third-Party Integrations

The Service may integrate with third-party services (e.g., calendar providers, payment processors). Your use of such integrations is subject to the terms and policies of those third parties.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.

10. Limitation of Liability

To the maximum extent permitted by law, SimplicitySuite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

11. Indemnification

You agree to indemnify and hold harmless SimplicitySuite and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

12.1 By You

You may terminate your account at any time by providing notice through the console or by contacting support. Termination takes effect at the end of your current billing period.

12.2 By Us

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
